1. Agreement to Terms

By accessing or using EasyBeds HMS ("the Service"), operated by EasyBeds HMS Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any part of the Service, you represent that you are at least 18 years old, have read these Terms, and agree to be bound by them.

2. Description of Service

EasyBeds HMS is a cloud-based hotel management software platform that provides property management, channel management, booking engine, revenue intelligence, reporting, and related hospitality management services ("Service"). The Service is provided on a subscription basis as described in our pricing plans.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and not share it with third parties
• Be responsible for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account
• Not create more than one account per person or entity without prior written consent

We reserve the right to suspend or terminate accounts that provide false, inaccurate, or misleading information, or that violate these Terms.

4. Subscriptions and Payment

4.1 Subscription Plans

EasyBeds HMS offers various subscription plans (Starter, Professional, Business, Enterprise). The features available to you depend on the plan you select. Plan details, features, and pricing are described on our Pricing page and are subject to change.

4.2 Free Trial

We offer a 30-day free trial for new subscribers. No credit card is required for the trial period. After the trial period, continued use of the Service requires selecting a paid plan and providing valid payment information.

4.3 Billing

Subscriptions are billed monthly or annually in advance. By providing payment information, you authorize us to charge the applicable fees to your payment method. All fees are exclusive of applicable taxes, which you are responsible for paying.

4.4 Refunds

Fees paid are non-refundable except as required by applicable law. If you cancel your subscription, you will retain access to the Service until the end of your current billing period.

4.5 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any unlawful, harmful, threatening, abusive, or defamatory content
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service or its systems
• Introduce viruses, malware, or other malicious code
• Scrape, crawl, or otherwise extract data from the Service without permission
• Resell, sublicense, or commercially exploit the Service without written consent
• Use the Service in any way that could damage, disable, or impair the Service
• Engage in any fraudulent activity, including providing false payment information

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

You retain ownership of all data you submit to the Service ("Your Data"). You grant us a limited license to process Your Data solely for the purpose of providing the Service. We will not sell or share Your Data with third parties except as described in our Privacy Policy.

Upon termination of your account, we will retain Your Data for 30 days, after which it may be deleted. You may request an export of Your Data at any time before termination.

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of EasyBeds HMS Ltd and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Service.

8. Third-Party Services

The Service integrates with third-party services including but not limited to payment processors, OTA channels via Channex.io, and other hospitality technology providers. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of third-party services.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASYBEDS HMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless EasyBeds HMS Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

Either party may terminate the Service relationship at any time. You may cancel your subscription at any time from your account settings. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or fail to pay applicable fees.

Upon termination, your right to use the Service will immediately cease. We will provide you with access to export Your Data for 30 days following termination.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice within the Service. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.
